Digby App – Terms of Service

These Terms govern your use of the Digby Sparkle iOS app (“the App”), operated by Digby Fine English Ltd (“we”, “us”, “our”), a company registered in England and Wales (company number 08020783) with registered office at 55-57 High Street, Arundel, West Sussex, BN18 9AJ.

Where they differ, these Terms supplement the general Terms and Conditions published on digbyfineenglish.com and our Wine Club Membership Agreement.

By creating an account or using the App you confirm you have read, understood, and agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You may use the App only if all of the following apply:

  • You are 18 years of age or over. We ask for your date of birth at sign-up to confirm this. UK alcohol-licensing law (Licensing Act 2003) prohibits us from selling alcohol to or on behalf of anyone under 18.
  • You live in or are visiting the United Kingdom. We are licensed to ship wine within the UK only.
  • You provide accurate information at sign-up and keep your account details current.
  • You have not previously been banned from using the App or from Digby Fine English’s wine club.

If we discover an account belongs to someone under 18 or otherwise ineligible, we will close it without notice and refund any unused subscription period on a pro-rata basis.

2. Your account

You are responsible for keeping your account secure:

  • Choose a strong, unique password (we recommend a password manager). If you use “Sign in with Apple” or “Sign in with Google” you are bound by the security terms of those services.
  • Never share your sign-in credentials with anyone else.
  • Tell us immediately at privacy@digbyfineenglish.com if you suspect unauthorised access.
  • We may suspend your account if we reasonably believe it has been compromised, while we investigate.

You can delete your account at any time from inside the App: Account tab → Delete Account. Deletion is permanent and:

  • Cancels any active subscription (you keep access for the remainder of the current billing period unless you also email us to terminate immediately).
  • Removes your profile, membership, referral, credit-wallet, and reward-claim records from our systems.
  • Does not automatically delete your Commerce7 wine-club records — those are retained under the Wine Club Membership Agreement for delivery, complaint-handling, and HMRC tax-compliance purposes. Email privacy@digbyfineenglish.com to request that those also be removed (subject to the legal retention obligations referenced above).

3. Subscriptions and billing

3.1 Tiers

The App offers four membership tiers:

Exact prices are shown in-App on the Pricing screen. Prices include UK VAT where applicable. We may change prices on renewal with at least 30 days’ notice; if you do not agree to the new price you may cancel before the renewal date.

3.2 Billing

  • Subscriptions are billed via Stripe. You authorise us (through Stripe) to charge your chosen payment method on the date you subscribe and on each renewal date thereafter.
  • Renewals are automatic. Monthly plans renew every month, annual plans every year.
  • We do not store your card details — Stripe holds them under PCI DSS Level 1 certification. See our Privacy Policy.
  • If a payment fails (insufficient funds, expired card, etc.), Stripe will retry for up to 14 days. After that, your subscription is marked Past Due and paid benefits are suspended until payment succeeds. Your account itself is not deleted.

3.3 Cancellation and refunds

  • Cancel any time from the App: Account tab → Manage Subscription → Cancel. You keep paid benefits until the end of the current billing period.
  • Statutory right of withdrawal (UK Consumer Contracts Regulations 2013): When you first subscribe to a paid tier from within the App, you have a 14-day cooling-off period during which you may cancel for any reason and receive a full refund of the subscription fee. This right is lost if you have consumed services that cannot be returned — for example, if a wine allocation has been shipped, an exclusive online tasting has been viewed, or any other digital content tied to the subscription has been delivered. To exercise this right within the cooling-off window, email cancel@digbyfineenglish.com from the email address on your account.
  • Outside the 14-day window, subscription fees already paid are non-refundable, subject only to your statutory rights under the Consumer Rights Act 2015 if the service is not as described.

3.4 In-app credit wallet

  • Members earn £10 of in-app credit each time someone they refer (using the member’s referral code) subscribes to a paid tier (Silver, Gold, or Platinum). Free Access sign-ups do not qualify.
  • Credit balance and ledger are visible in the Wallet tab. Credit is automatically applied as a one-time discount at your next paid subscription checkout.
  • Credit has no cash value, is non-transferable, and is forfeited if your account is closed for breach of these Terms.
  • We reserve the right to revoke credit obtained through self-referral, automated sign-ups, abuse of the referral system, or any other practice that contradicts the spirit of a member-get-member reward.

3.5 No In-App Purchases (Apple)

Subscriptions to Digby Sparkle paid tiers are sold for the delivery of physical wine and access to real-world events (tasting room, vineyard tours, harvest events). They are not digital content within the meaning of Apple’s App Store Review Guideline 3.1.1 (“In-App Purchase”), and so are sold via Stripe under guideline 3.1.3(e) (“physical goods and services”). If you initiate a subscription from inside the App, you are taken to Stripe’s hosted checkout page (which complies with Apple’s “reader app” exception); the resulting charge appears on your card statement as “DIGBY FINE ENGLISH” and not via Apple’s billing system. Refunds and disputes therefore go through us (or your card issuer), not Apple.

4. Wine club benefits

Membership benefits — wine allocations, tasting-room invitations, harvest events, the concierge service for Platinum members — are governed by the Wine Club Membership Agreement at digbyfineenglish.com/wine-club-terms. The App is a channel for accessing those benefits; it does not replace or vary the Membership Agreement. Where the App and Membership Agreement conflict, the Membership Agreement controls.

Specifically:

  • Wine allocations are subject to stock availability. We may substitute equivalent bottles where a specific wine is sold out.
  • Tasting-room and event invitations are subject to capacity and may be ticketed separately.
  • Early-booking windows for events are guaranteed durations; specific dates and times are subject to change with reasonable notice.
  • The Platinum concierge service is available during UK business hours (Monday–Friday, 9am–5pm) excluding bank holidays.

5. Acceptable use

When using the App you must not:

  • Use it for any unlawful purpose, including underage purchase of alcohol or onward sale of alcohol without the appropriate licence.
  • Attempt to reverse-engineer, decompile, or modify the App or its backend.
  • Attempt to access another member’s account or data, or to bypass the App’s authentication.
  • Use automated tools (bots, scripts, scrapers) to interact with the App or our backend APIs without our prior written consent.
  • Submit any false or misleading information at sign-up or in any feedback channel.
  • Resell or transfer your membership or in-app credit to a third party.

Breach of any of the above may result in immediate suspension or termination of your account without refund.

6. Intellectual property

The App, its source code, design, and content (including wine descriptions, photography, and tasting notes) are owned by Digby Fine English Ltd or licensed to us. You receive a limited, non-exclusive, non-transferable licence to use the App in accordance with these Terms for as long as your account is active. You acquire no other rights.

You retain ownership of any personal data you provide to us. By submitting feedback or suggestions, you grant us a perpetual, royalty-free licence to incorporate them into the App without obligation to you.

7. Service availability and changes

We aim for the App and backend to be available continuously but do not guarantee uninterrupted service. We may take parts of the service offline for maintenance, updates, or in response to security incidents. Where reasonably possible we give notice; in urgent cases we may not.

We may add, remove, or change features (including benefits, pricing structure, and reward mechanics) with at least 30 days’ notice for material changes that disadvantage paid members. Minor changes (e.g. UI improvements, bug fixes) may be made at any time.

8. Liability

The App is provided on an “as available” basis. To the maximum extent permitted by law:

  • We are not liable for loss of profits, business opportunity, anticipated savings, or for any indirect or consequential loss arising from your use of (or inability to use) the App.
  • We are not liable for failures caused by your network connection, your device, or by third-party services (Stripe, Commerce7, Apple, Google) outside our reasonable control.
  • Our total liability to you for any claim arising from these Terms or your use of the App is limited to the greater of (a) the amount you have paid us in subscription fees during the 12 months preceding the claim, or (b) £100.

None of the above limits or excludes liability that cannot be limited or excluded under UK law, including:

  • Liability for death or personal injury caused by our negligence.
  • Liability for fraud or fraudulent misrepresentation.
  • Liability under the Consumer Rights Act 2015 in respect of statutory implied terms.

9. Termination

We may terminate or suspend your account if you breach these Terms, if you fail to pay subscription fees, or if we are required to do so by law. Where reasonably possible we give written notice and an opportunity to remedy.

You may terminate your use of the App at any time by deleting your account (Section 2).

On termination, sections that by their nature should survive — including Liability (Section 8), Intellectual property (Section 6), and Governing law (Section 10) — continue to apply.

10. Governing law and disputes

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with them, or with your use of the App, will be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing court proceedings, we ask that you first contact us at support@digbyfineenglish.com so we can attempt to resolve the matter informally. If we cannot, you may also be entitled to use the EU Online Dispute Resolution platform at https://ec.europa.eu/odr — though this is intended for EU consumers and may not be appropriate post-Brexit; UK consumers can refer to Citizens Advice (https://www.citizensadvice.org.uk) for guidance on alternative dispute resolution.

11. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top reflects the most recent change. We will notify you of material changes via email and in-App at least 30 days before they take effect. Continuing to use the App after that notice period means you accept the new Terms.
